Terms of Use

1. These terms

These terms govern your use of Zarubima (zarubima.lk), operated by AnnFar Global (Private) Limited, PV00367114, 22/4, Peterson Tower, Havelock City, Havelock Road, Colombo 05 ("AnnFar Global", "we", "us").

By using Zarubima you accept these terms. If you register, accept an invitation, or accept a record on Zarubima, you accept them for that use too. Our Privacy Policy explains how we handle personal data.

Words used here.

• A Seller/Institution is a licensed commercial bank or other financial institution that publishes property on Zarubima.
• An agent is a person or firm AnnFar Global has verified to bring buyers to listings.
• A buyer is a person or company who enquires about or offers on a listing.
• A listing is a property a Seller/Institution has published.

2. What Zarubima is, and is not

Zarubima is a place where Seller/Institutions publish the property they are selling, verified agents bring buyers, and each step of a sale is recorded.

• The Seller/Institution is the seller of every listing. AnnFar Global does not own, sell, value or guarantee any property, and is not the agent of any buyer.
• Listing details come from the Seller/Institution. That includes descriptions, extent, photographs, references and asking price. We do not check title, boundaries, condition or value. Buyers must make their own enquiries, and should use their own lawyer, surveyor and valuer.
• A listing is not an offer to sell to any particular person, and the asking price is not a promise. A Seller/Institution may change or withdraw a listing at any time.
• "Verified agent" means AnnFar Global has checked the agent's identity and documents before they could see a listing. It is not a government licence, and it does not guarantee an agent's advice.
• Zarubima does not publish borrowers' names or loan details.

3. Accounts

• Seller/Institution and AnnFar Global staff accounts are created by invitation. Agents register and are verified before they can see a listing.
• Give true and current details, and keep them up to date.
• Keep your password secret. Turn on two-step sign-in. You are responsible for what is done through your account unless you tell us promptly that it has been misused.
• We may suspend or close an account that breaks these terms, gives false details, or puts others at risk. Where it is safe to, we will tell you why.

4. For agents

• You act honestly and in good faith for the buyers you bring, and you follow the Seller/Institution's instructions on viewings and offers.
• Viewings, offers and sale steps for a Zarubima listing go through Zarubima, so that each is on record.
• Your commission is set out on the platform for each sale. You confirm it before the sale goes ahead, and it is paid as recorded there.
• Introductions are protected. If a sale on a listing does not go ahead, and within six months the same buyer buys property from the same Seller/Institution, that should happen through Zarubima. We check for this automatically and review every match. If a bypass is confirmed, the agents involved may be suspended, and commission is due to the introducing agent where the MoU provides for it.
• AnnFar Global may suspend or remove an agent's verification at any time if it has reason to think these terms have been broken. Removing verification removes access to listings immediately.

5. For buyers

• You make enquiries and offers through an agent. Viewings are arranged with the agent the Seller/Institution assigns.
• An offer binds no one until the Seller/Institution accepts it. Acceptance is recorded in a Property Offer Acceptance Record.
• The details you give, including your identification, must be your own and true. A sale cannot be recorded without them.

6. Records made on Zarubima

• Electronic acceptance. When you accept a record on Zarubima, including the Property Transaction MoU, by the method the platform provides, that acceptance is your agreement in electronic form. Under the Electronic Transactions Act No. 19 of 2006 it is not invalid merely because it is electronic.
• What the records are. The Property Offer Acceptance Record records an accepted offer. The Property Transaction MoU records what the parties agree about the sale. The Transaction Completion Record records that a sale was completed.
• What they are not. None of these documents transfers the property. Ownership passes only by a deed executed before a notary and registered as the law requires.
• Verification. Anyone with a record's code can check it at zarubima.lk/verify. The check shows only what our Privacy Policy lists.
• The MoU governs the sale. Where the MoU and these terms differ about a sale, the MoU prevails between its parties.

7. Using Zarubima properly

You must not:

• copy listings or data from Zarubima by automated means (scraping, crawling, bulk download), or republish them, without our written permission;
• try to reach any account, record or data you are not given access to, or test, probe or bypass our security. Unauthorised access is an offence under the Computer Crimes Act No. 24 of 2007;
• put false, misleading, unlawful or defamatory content on Zarubima, or use it to harass anyone;
• use an enquiry, the waitlist or the contact form to send advertising or bulk messages;
• interfere with Zarubima's operation, or use it in breach of any law.

We may remove content and refuse requests that break these rules.

8. Ownership

Zarubima's software, design, documents and the Zarubima name and marks belong to AnnFar Global. Listing content belongs to the Seller/Institution that published it. You may view and share individual listing pages for personal use, and print the records of sales you are a party to.

9. Availability and changes to Zarubima

We work to keep Zarubima available and accurate, but we do not promise uninterrupted access. We may change, suspend or withdraw features. We will give registered users notice of changes that materially affect them, where we can.

10. Responsibility

• Zarubima is provided as described in these terms. To the extent the law allows, AnnFar Global is not liable for:
  • the property, its title, condition or value;
  • a Seller/Institution's decisions;
  • an agent's or buyer's conduct;
  • loss of profit or opportunity;
  • indirect loss.
• Nothing in these terms limits liability that the law does not allow to be limited, including for fraud, or for death or personal injury caused by negligence.
• Subject to the point above, AnnFar Global's total liability for any claim is limited to the fees AnnFar Global received for the sale concerned.
• If you use Zarubima in breach of these terms or the law, you are responsible for the loss that causes to AnnFar Global and others.

11. Changes to these terms

We may update these terms. The new version is published here with its effective date. For changes that affect registered users, we will email them at least 14 days before the change takes effect. If you keep using Zarubima after that, the new terms apply.

12. Law and disputes

These terms are governed by the laws of Sri Lanka. We will first try to settle any dispute by talking to you. If that fails, the courts of Colombo have exclusive jurisdiction.
